1. Agreement to these Terms
By creating an account or using Hangpost (the apps, websites, and services, together the "Service"), you agree to these Terms, our Privacy Policy, our Community Guidelines, and, because any member can post and host hangouts, our Event Host Agreement, each of which is incorporated by reference. If you do not agree, do not use the Service.
We may update these Terms. For material changes we give at least 30 days' notice in-app or by email. Continued use after the effective date of a change is acceptance. Changes to Section 15 (the arbitration agreement) do not apply to disputes that arose before the change.
2. Eligibility
To use the Service you must:
- be at least 18 years old;
- be located in the United States (the Service is offered in the US only);
- not be required to register as a sex offender in any jurisdiction, and not have been convicted of a felony or of a violent or sexual offense;
- not have been previously removed from the Service by us; and
- have the legal capacity to enter this agreement.
You represent that each of these statements is true for as long as you use the Service.
3. Your account
- One account per person; accounts are personal and non-transferable.
- You must provide accurate information, including a phone number you control for verification. Impersonating anyone, or misrepresenting your identity, age, or affiliations, is prohibited.
- You are responsible for activity on your account and for keeping your credentials secure. Tell us at security@hangpost.app if you suspect unauthorized access.
- You can delete your account at any time in-app (Settings, then Delete account). Deletion effects are described in the Privacy Policy.
4. What the Service is, and what it is not
Hangpost is a location-scoped social network for meeting new people nearby: a local posterboard feed, recommended profiles ("connections worth exploring") with visible reasons, and group hangouts that others can join.
What we do not do. Please read this carefully:
- We do not conduct criminal-background screening of users. We use phone verification and the safety tools described in the app, but we do not and cannot verify the identity, intentions, or history of any user beyond what we state in-product.
- We are not a party to any hangout, meeting, or relationship formed through the Service. We do not own, operate, inspect, or endorse any venue where users choose to meet.
- Recommendations are statistical suggestions based on the profile information users provide, and we show the reasons with each one. They are not a vouching for, or a guarantee about, any person.
When you post or host a hangout, the Event Host Agreement (accepted at sign-up) governs your hosting in addition to these Terms.
5. Assumption of risk for in-person meetings; release
This section is the heart of these Terms. Hangpost exists to help people meet in person, and meeting people you do not know carries inherent risk.
- You are solely responsible for your interactions with other users, online and offline, including deciding whether, where, and when to meet anyone.
- You agree to use common-sense precautions: meet in public places, tell someone where you are going, arrange your own transportation, and review our in-app safety guidance.
- TO THE FULLEST EXTENT PERMITTED BY LAW, YOU ASSUME ALL RISKS ARISING FROM YOUR USE OF THE SERVICE AND FROM IN-PERSON MEETINGS WITH OTHER USERS, AND YOU RELEASE HANGPOST AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS FROM ANY CLAIMS ARISING OUT OF OR RELATING TO (a) THE CONDUCT, STATEMENTS, OR OMISSIONS OF OTHER USERS OR THIRD PARTIES, (b) ATTENDANCE AT OR TRAVEL TO OR FROM ANY HANGOUT OR EVENT, OR (c) ANY VENUE. This release does not apply to liability that cannot be released under applicable law.
If you ever feel unsafe, contact local emergency services first, then report the user or event in-app.
6. Your content
- "Content" means anything you post or submit: posts, hangouts, photos, profile fields, messages, and reports.
- You own your Content. You grant Hangpost a non-exclusive, worldwide, royalty-free, sublicensable license to host, store, reproduce, adapt (including to resize or reformat for display), publish, and display your Content solely to operate, improve, and promote the Service, consistent with your visibility settings. The license ends when you delete the Content or your account, except (a) where Content has been shared with others who have not deleted it, (b) for backup copies on a deletion schedule, and (c) where retention is required by law or for safety and moderation records.
- We do not use your private messages to advertise to you, and we do not sell your Content. Our data practices are described in the Privacy Policy.
- You represent that you hold the rights to the Content you post and that it does not violate law or these Terms.
7. Prohibited conduct
The full norms are in the Community Guidelines; violating them violates these Terms. You may not:
- harass, threaten, defame, stalk, or harm anyone, or post hate speech, sexual content involving minors (which we report to NCMEC as required by 18 U.S.C. § 2258A), non-consensual intimate imagery, or content encouraging violence or self-harm;
- impersonate anyone, misstate your age, or create accounts for someone else;
- use the Service for commercial solicitation, advertising, or promotion without our written agreement (the Sponsored Board is the sanctioned path for businesses);
- use the Service to find participants for unlawful activity, or to romance-scam, catfish, or solicit money from users;
- scrape, harvest, or collect user data; reverse engineer the Service; probe or breach its security; use bots or automation; or resell access;
- circumvent a block, ban, or radius or visibility control; or
- post another person's private information without consent.
We may investigate violations, remove Content, restrict features, suspend or terminate accounts, and report to law enforcement, at our discretion and without prior notice where reasonably necessary.
8. Location features
- Hangpost uses a home point and radius that you set to decide what you see and who can see you. We do not track your live, continuous GPS location, and we never sell location data.
- Hangout posts may carry a meeting location that you choose to attach. Posting one makes it visible to the audience you select.
- Providing a deliberately false location to evade safety or visibility controls is prohibited.
9. Fees, payments, and paid hangouts
- The core Service is free. We may offer paid features or paid hangouts, where a host charges attendees. Prices, fees, and any applicable taxes will be shown before you pay.
- When we offer paid features, payments are processed by a third-party payment processor (Stripe); we do not store full card numbers.
- Paid hangouts are contracts between host and attendee. Hangpost charges a platform fee disclosed at checkout. Refunds follow the host's stated policy; as a minimum platform rule, a host's cancellation of an event entitles attendees to a full refund of the attendee-paid amount.
- Except as required by law or stated at purchase, fees are non-refundable. Subscription features, if offered, renew until cancelled and may be cancelled at any time effective at the end of the then-current period.
10. Intellectual property; feedback; DMCA
- The Service, excluding user Content, is owned by Hangpost and protected by intellectual-property laws. We grant you a personal, non-exclusive, non-transferable, revocable license to use the Service as intended.
- Feedback you send us may be used without restriction or compensation.
- Copyright complaints (DMCA): send a notice that meets the requirements of 17 U.S.C. § 512(c)(3) to our designated copyright agent at dmca@hangpost.app; the full process is in our DMCA Policy. We terminate repeat infringers in appropriate circumstances. Counter-notifications follow § 512(g).
11. Third-party services
The Service interoperates with third-party services such as app stores, authentication, payment processors, and venues' own sites. Their terms govern your use of them, and we are not responsible for third-party services.
Apple and Google app-store standard terms apply. These Terms are between you and Hangpost, not the app store, and Hangpost, not the app store, is responsible for the Service and its content. The app store has no obligation to furnish maintenance or support for the Service. To the maximum extent permitted by law, the app store has no warranty obligation for the Service; if the Service fails to conform to any applicable warranty, you may notify the app store, and where you acquired the app through Apple, Apple will refund the purchase price, if any. Hangpost, not the app store, is responsible for addressing any claim relating to the Service, including a product-liability claim, a claim that the Service fails to meet a legal or regulatory requirement, a claim under consumer-protection or privacy law, and a third-party claim that the Service infringes that party's intellectual-property rights. You represent that you are not located in a country subject to a US-government embargo or designated by the US government as terrorist-supporting, and that you are not on any US-government list of prohibited or restricted parties. The app store, and its subsidiaries, is a third-party beneficiary of these Terms and may enforce them against you.
12. Termination
You may stop using the Service or delete your account at any time. We may suspend or terminate your access at any time for violation of these Terms, risk to other users, a legal requirement, or discontinuance of the Service, with reasonable notice for discontinuance. Sections that by their nature survive termination do so as described in Section 17.
13. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT RECOMMENDATIONS WILL BE ACCURATE OR LEAD TO ANY OUTCOME, OR THAT ANY USER IS WHO THEY CLAIM TO BE. SOME JURISDICTIONS DO NOT ALLOW THESE EXCLUSIONS, SO SOME MAY NOT APPLY TO YOU.
14. Limitation of liability; indemnification
TO THE FULLEST EXTENT PERMITTED BY LAW: (a) HANGPOST WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL; AND (b) HANGPOST'S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF US $100 OR THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY. THESE LIMITS DO NOT APPLY TO LIABILITY FOR GROSS NEGLIGENCE, FRAUD, OR INTENTIONAL MISCONDUCT, OR WHERE PROHIBITED BY LAW.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including under your state's consumer-protection statutes.
You agree to indemnify and hold Hangpost harmless from claims arising out of your Content, your use of the Service, your interactions with other users (including any hangout, meeting, or event you attend or host), or your violation of these Terms or applicable law.
15. Dispute resolution: arbitration agreement and class waiver
Please read this Section carefully. It affects your rights.
- Informal resolution first (required). Before filing any claim, you and we agree to try to resolve the dispute informally: send a written notice describing the dispute to legal@hangpost.app, or we will send one to your account email, and engage in good-faith discussion for 60 days. A claim may not be filed until this period ends.
- Binding arbitration. Except as set out below, any dispute arising from these Terms or the Service is resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The Federal Arbitration Act governs this Section. Arbitration is held in your county of residence or remotely by videoconference. We pay filing and arbitrator fees beyond an amount equal to the then-current court filing fee where required by AAA rules or law.
- Exceptions. Either party may (a) bring an individual claim in small-claims court, and (b) seek injunctive relief in court for intellectual-property infringement, data scraping or security breaches, or threats to the safety of users.
- Class-action and jury waiver. All claims must be brought in the parties' individual capacity, and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding, and you and Hangpost each waive the right to a jury trial. The arbitrator may not consolidate more than one person's claims.
- Mass-filing protocol. If 25 or more similar demands are filed by the same or coordinated counsel, the parties agree to resolve them through staged bellwether arbitration consistent with current AAA practice.
- 30-day opt-out. You may opt out of this arbitration agreement by emailing arbitration-optout@hangpost.app within 30 days of first accepting these Terms, stating your name, account phone or email, and intent to opt out. Opting out does not affect any other Section.
- Severability. If the class-action waiver is found unenforceable as to a particular claim, that claim, and only that claim, proceeds in court, with the remainder in arbitration.
16. Governing law and venue
These Terms are governed by the laws of the State of Delaware, excluding its conflict-of-law rules, except that the Federal Arbitration Act governs Section 15 and your state's consumer-protection law applies where it cannot be waived. Court proceedings permitted under Section 15 must be brought in the Superior Court of the State of Delaware, or the Court of Chancery of the State of Delaware for claims in equity, or the United States District Court for the District of Delaware, except that a consumer may instead bring a permitted claim in the state or federal courts located where the consumer resides. Each party consents to the personal jurisdiction of those courts.
17. General
- Entire agreement. These Terms, together with the incorporated policies, are the entire agreement and supersede prior agreements about the Service.
- Severability. An invalid provision is modified to the minimum extent necessary to make it enforceable, and the rest stand.
- No waiver. A failure to enforce a provision is not a waiver of it.
- Assignment. You may not assign these Terms. We may assign them in connection with a merger, acquisition, or sale of assets, with notice to you.
- Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control.
- Notices. We may notify you in-app or by email or SMS on file. Legal notices to us go to legal@hangpost.app.
- Survival. Each provision of these Terms that by its nature should survive termination or expiration survives, including without limitation Section 5 (assumption of risk and release), Section 6 (the license tail and your representations), Section 7, Section 9, Section 10, Section 11, Sections 13 through 16, and this Section 17.
